BYLAWS
OF
INDIANAPOLIS ALUMNAE ASSOCIATION
KAPPA KAPPA GAMMA FRATERNITY

ARTICLE I
NAME
The name of this association shall be the Indianapolis Alumnae Association of Kappa Kappa Gamma in accordance with the 05/26/1971 charter granted by Kappa Kappa Gamma Fraternity.
ARTICLE II
PURPOSE
The purpose of this association shall be to encourage participation of all members, unite in friendship, and further the work of Kappa Kappa Gamma Fraternity.
ARTICLE III
MEMBERSHIP
Section 1. Members. Members of the association shall consist of alumna members of Kappa Kappa Gamma Fraternity residing in, but not limited to, Indianapolis and the surrounding areas and dual members.
Section 2. Members in Good Standing. A member in good standing shall be one who has met the requirements of the Fraternity Bylaws, Standing Rules, and Policies and has paid her annual association dues.
Section 3. Types of Membership. There shall be two types of alumna membership.
Active. An active member shall have paid the annual dues of the association and Fraternity fees. (See the Fraternity Bylaws, Article XVIII. Section 1. C. 3 and Article III. Section 3. D.)
Dual. A dual member shall have paid her annual fees through another alumnae association of Kappa Kappa Gamma (as determined by the member) and paid the annual association dues as established by the alumnae association Bylaws.
ARTICLE IV
OFFICERS AND DELEGATES
Section 1. Officers. The officers of the association shall be President, Secretary, Treasurer, and such other officers as may be necessary. (See the Fraternity Bylaws, Article XV. Section 2.)
Qualifications. In order to be eligible to hold office or represent the association as a delegate to General Convention or Alumnae Panhellenic, a member must be in good standing. (See the Fraternity Bylaws, Article III. Section 3. D and Article XV. Section 2. A.)
Nominating Committee. The association President shall appoint the Nominating Committee Chairman. The committee shall be elected by the association members or by the Executive Board. The Nominating Committee shall present a report at a meeting, by mail or electronic mailing, no later than one month prior to the election date.
Election. Association officers shall be elected at a regular or special meeting of the association prior to April 30 of each year. (See the Fraternity Bylaws, Article XV. Section 2. B.)
Term of Office. The officers shall take office by July 1 of each year and shall hold office for one year or until their successors are installed. (See the Fraternity Bylaws, Article XV. Section 2. B.)
Vacancies. A vacancy in any office shall be filled by a majority vote of the Executive Board present at the meeting and voting. (See the Fraternity Bylaws, Article XV. Section 5.)
Section 2. Executive Board.
Membership. The Executive Board shall consist of the officers.
Duties. The duties of the Executive Board shall be:
To carry out its duties as defined in alumnae association manuals in conjunction with the Fraternity Bylaws, Standing Rules, and Policies.
To represent the association in the interim between meetings, vote on any question requiring the action of the association prior to the next meeting, or on such matters designated in the alumnae association Bylaws.
To administer the finances of the association.
To appoint a representative to the local/area Alumnae Panhellenic.
To have the authority to act for the association in the absence of a quorum at any meeting.
Section 3. Delegates. Each association in good standing shall be entitled to representation at the Fraternity General Convention by a delegate in good standing. (See the Fraternity Bylaws, Article V. Section 3. A. 7; Article XV. Section 4; and Article XVI. Section 1.) The delegate shall be the alumnae association President unless she is unable to attend. (See the Fraternity Policies, Policy II. Section 4.)
Section 4. Alumnae Panhellenic. Each alumnae association of the Fraternity shall enroll as a member of the Alumnae Panhellenic that is affiliated with the National Panhellenic Conference and send representation to the Alumnae Panhellenic meetings. (See the Fraternity Bylaws, Article XXV. Section 3.)
Section 5. Archives. Associations shall maintain the charter, a current copy of the Fraternity Bylaws, Standing Rules and Policies, and the records of the association in the archives. (See the Fraternity Bylaws, Article XV. Section 6.)
ARTICLE V
MEETINGS
Section 1. Meetings. There shall be at least four meetings of the association held each year. These meetings may take place virtually. In an association with satellite or special interest groups, a meeting of the entire membership shall meet at least twice per year. (See the Fraternity Bylaws, Article XV. Section 1.)
Section 2. Philanthropic Funds. Disbursement of philanthropic funds shall be voted upon at a regular or special meeting of the association membership and shall be approved by a majority of those members present and voting.
Section 3. Quorum. A quorum of the association shall be a majority of the members in good standing attending the meeting. In the absence of a quorum at any regular or special meeting of the association, the Executive Board shall have the authority to act for the association. (See the Fraternity Bylaws, Article XV. ARTICLE VI
DUES
The dues of the association shall be established by a vote of the members. The fiscal year of the association shall be from July 1 to June 30, inclusive. (See the Fraternity Bylaws, Article XVII. Section 4.)
ARTICLE VII
COMMITTEES
Committee chairmen shall be appointed by the association President with the recommendations of the Executive Board.
Section 1. Duties. The duties of the committees shall be in accordance with Fraternity resources for alumnae.
Section 2. Reports. Officers and committee chairmen shall send reports as requested by Kappa Kappa Gamma Headquarters, officers, or committee chairmen in accordance with Fraternity resources for alumnae.
ARTICLE VIII
PARLIAMENTARY AUTHORITY
The rules contained in Robert’s Rules of Order Newly Revised shall govern the association in all cases to which they are applicable and in which they are not inconsistent with these Bylaws and the Fraternity Bylaws, Standing Rules, and Policies. (See the Fraternity Bylaws, Article XXVIII.)
ARTICLE IX
AMENDMENTS
These alumnae association Bylaws may be amended at any regular meeting of the association by a two-thirds vote of the members in good standing, present and voting, provided the amendment has been submitted in writing at the previous regular meeting and does not conflict with the Fraternity Bylaws, Standing Rules, and Policies.
ARTICLE X
DISSOLUTION
Should the association vote to disband, all assets not otherwise disposed of and not subject to any trust or owed as fees to Kappa Kappa Gamma Fraternity shall be transferred to the Kappa Kappa Gamma Foundation.
